These Terms of Use for B2W Marketing and Sales AB (“B2W”) contain:
1) Terms of Providing Services, and
2) Conditions of Use (regarding the www.B2Wmarketingsales.com website (and as otherwise provided).

UNLESS, AND ONLY TO THE EXTENT OTHERWISE AGREED BETWEEN THE PARTIES IN WRITING, THESE TERMS
AND CONDITIONS APPLY AND ARE SUBJECT TO CHANGE FROM TIME TO TIME BY B2W POSTING SUCH UPDATES HEREIN AT THE B2WMARKETINGSALES.COM WEBSITE.
1) TERMS OF PROVIDING SERVICES
It all begins with an idea. Maybe you want to launch a business. Maybe you want to turn a hobby into something more. Or maybe you have a creative project to share with the world. Whatever it is, the way you tell your story online can make all the difference.
These Terms of Use regulate B2W’s provision of services (whether past, present or future) on a non-exclusive
basis to your legal entity only, as applicable (“Services”) and, thus, B2W does not provide services to such legal
entity’s representatives themselves. You are referred to herein as “you,” “your” or “Client.” B2W was founded
by Cassandra Guttenberg, a Swedish citizen, in 2022.
Unless agreed otherwise in writing, B2W’S HOURLY RATE (EXCLUDING TAXES) SHALL APPLY FOR ALL SERVICES.
Hourly rates are subject to change from time to time and appear on the B2W website. For new clients, B2W
may require payment of a retainer in advance. When travel is necessary (and if not included within an agreed
package or subscription), B2W bills travel time at normal hourly rates if (a) B2W can use the time productively
to your benefit or (b) at 50% of the normal hourly rate. Invoices are issued monthly in arrears and due within
30 calendar days of the conclusion of the applicable month. Fixed price assignments and subscriptions are
binding once agreed between the parties according to the commercial terms agreed in writing (i.e., email being
sufficient). To the extent you may desire to terminate any fixed price assignment and/or subscription prior to
its completion, B2W may, under the circumstances and at B2W’s sole and absolute discretion, offer a reduction
in the fixed-price assignment and/or subscription amount. Any services outside the explicit scope of any fixed-
price assignment or subscription will be billed at B2W’s then applicable hourly rate.
It may be necessary to incur out-of-pocket expenses on your behalf for items such as travel, lodging, meals,
filing agents, filing fees, document mailings, advertisements, social media postings, and third party (as
approved) service providers. These charges will be listed separately on your invoices, and we can provide
greater detail if desired. It is expected you pay for those expenses at B2W’s cost according to the standard
invoice payment deadline (i.e., within 30 calendar days of the date of invoice unless a shorter period is agreed
between the parties).
A retainer is an advance payment which may be applied toward amounts you thereafter owe B2W. A retainer
may be required for any new client or if the caliber of any assignment entails more time than generally
applicable to your assignments, cost outlays, or other non-customary circumstances.
Client permits B2W to disclose client’s identity as a client and to disclose public information (in any and all
media) about the client (e.g., client press releases) including client trademarks and logos.
Should Client cancel any online or offline meeting with less than 24 hours’ notice, B2W shall have the right to
bill the agreed amount of time for such services (or otherwise treat such time as consumed under the
applicable package or subscription).
Any subscription or package runs for a minimum of 3 calendar months and automatically extends until
terminated by the Client with 30 days’ written notice.
B2W will have the right to terminate any project, subscription, and/or services with immediate effect in the
event of delinquent payment. B2W will otherwise have the right to terminate any services, project, and/or
subscription for convenience with 30 calendar days’ notice. Upon any termination, you agree to reimburse and
pay B2W for all reasonable professional fees and costs incurred on your behalf.
ANY B2W STATEMENTS OF OUTCOMES AND/OR TIMELINES ARE EXPRESSIONS OF REASONABLE JUDGMENT
AND SHALL NOT BE RELIED UPON AS GUARANTEES. FURTHER, ANY ESTIMATED OUTCOMES AND/OR TIMELINES
ARE SUBJECT TO YOUR TIMELY, ACCURATE, AND COMPETENT SUPPORT WITH RESPECT TO ANY AND ALL
INFORMATION, APPROVALS, DOCUMENTS, AND/OR DECISIONS AND ARE ALSO SUBJECT TO ANY RELEVANT
THIRD PARTY PROCESSING TIMES. FURTHER, ANY COMMUNICATIONS BY B2W ARE SOLELY FOR CLIENT AND
B2W SHALL HAVE NO LIABILITY OF ANY KIND IN CONNECTION WITH ANY THIRD PARTY’S RELIANCE ON SUCH
INFORMATION. B2W’S LIABILITY PERTAINING TO ANY AND ALL SERVICES, WHETHER FOR BREACH OF
CONTRACT, INDEMNIFICATION, AND/OR ANY OTHER LIABILITY OF ANY KIND, IS LIMITED TO DIRECT DAMAGES
RESULTING FROM GROSS NEGLIGENCE AND SHALL NOT EXCEED THE AMOUNT PAID BY THE CLIENT DURING
THE PERIOD OF 6 MONTHS PRECEDING THE CLAIM IN QUESTION.
ALL IMPLIED WARRANTIES ARE DISCLAIMED INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSES, AND NON-INFRINGEMENT.
Client shall ensure that any content provided to B2W is free of any confidentiality obligations and/or third
party intellectual property rights. To the extent any claim is asserted against B2W in relation to any Client
provided content or content created by B2W pursuant to Client’s instructions, Client shall defend, indemnify,
and hold B2W harmless for any and all costs, damages, court fees, and/or losses.
Swedish law governs these Terms of Use (giving no effect to any conflict of laws provisions). Any dispute shall
be EXCLUSIVELY SETTLED by expedited arbitration pursuant to the rules of the Arbitration Institute of the
Stockholm Chamber of Commerce.
B2W MAKES NO WARRANTY OR REPRESENTATION OF ANY KIND WITH REGARD TO ANY THIRD-PARTY SERVICE
PROVIDER.
Client understands and agrees that best results require Client’s adherence to the agreed marketing plan
created by B2W as well as compliance with B2W’s instructions. Any content provided by B2W shall only be
used as posted, instructed (in writing) or approved (in writing) by B2W. Client shall immediately review any and
all posts, newsletters, and/or public communications of any kind by B2W with respect to Client, Client’s
products and/or services, and otherwise related in any way to Client to ensure the accuracy of the
communication, content, and/or graphics, graphical profiles. Should Client detect any deficiency, Client shall
contact B2W forthwith in writing and provide a clear instruction on the required change. Client understands
B2W’S SERVICES ARE PROVIDED ON AN “AS IS” BASIS.

B2W permits your access and use of this website subject to the following conditions.

law or any other statutes implied for Internet transactions (collectively “UCITA”) is enacted as part of the law of
any applicable state of the United States or any applicable country or any applicable region within any country,
such statute shall not govern any aspect of these Terms of Use or any other agreement reached by and
between you and B2W, any license granted by B2W, nor any of the parties’ rights and/or obligations arising
pursuant to these Terms of Use or any other agreement reached by and between you and B2W. These Terms

Law and Disputes section of these Terms of Use.
